Partnership & Limited Liability Partnership
Businesses, particularly professional practices have operated through the structure of a partnership for many years. A recent development has been the introduction of limited liability partnerships, which are now becoming increasingly common. From 1st April 2005, Harvey Ingram itself transferred its business to a limited liability partnership (“LLP”) to join numerous other legal, accountancy and other professional service firms with LLP status.
LLPs were created by the Limited Liability Partnership Act 2000. An LLP is a corporate body with a separate legal identity. Similar to a company, it has rights and liabilities that are distinct from its members.
We have specialists in partnership and LLP structures and can initially advise on whether it is appropriate for your business to operate as a partnership, a limited partnership, a limited liability partnership or a company. In addition to preparing partnership and LLP documentation specific to your needs, we can advise on the legal and regulatory implications for your business.
If you have an existing business, we can deal with the transfer of the business and its assets to a newly formed partnership or LLP as appropriate.
