We have significant experience of management buy-outs and buy-ins. We will advise all the members of management buy-out or buy-in team of the opportunities and risks associated in the transaction, including any potential personal liability; for example members of the team may be required to grant security over their individual assets.
At the start of the process we can advise you on the different types of finance options. An experienced team member will come in at an early stage and help you put the deal together with the sellers and your financial advisors.
We will advise on the extent of any warranties or indemnities which may be sought by lenders financing the transaction and recommend appropriate warranty cover you should be seeking from the sellers. If necessary we will advise you of your obligations as company directors and how you may need to deal with any conflicts of interest that may arise.
