Banking & Debt Finance
We act for a number of finance providers and we are regularly instructed to document loan transactions, both secured and unsecured, bilateral and syndicated across various industry sectors. We also prepare and advise on guarantees and other trade finance arrangements. Several members of our team have developed excellent working relationships with finance providers over the years which assists in getting transactions completed effectively.
Debt finance often has a key role to play in the transactions we deal with. In most buyouts the debt element will form the largest part of the funding in transactions. We will endeavour to work closely with you and advise you on the credit documentation and how to deal with key commercial issues such as structuring, inter-creditor and security issues. Where appropriate we will identify the commercial risks and always strive to come up with practical solutions.
We will advise on and negotiate appropriate warranties, undertakings and financial covenants commonly incorporated into facility agreements and carry out legal due diligence process on your behalf. Security and guarantee packages will ensure that any material assets on which the performance of the borrowing company is based are retained and that the bank’s charges take priority to any interests of other creditors in an insolvency.
